CONTINUITY OF BUSINESS AND COMPLIANCE WITH AGREEMENT. Each of Borrower and Guarantor shall continue in business in a prudent, reasonable and lawful manner with all licenses, permits, and qualifications necessary to perform its respective obligations under this Agreement and the Guarantee, except where failure to do so could not reasonably be expected to materially and adversely affect such performance or the enforceability of Lender's security interest in the Collateral.
