Continuing Party Net Sales. “Continuing Party Net Sales” means, with respect to a given period and jurisdiction, the gross invoiced sales price for the Product sold by or on behalf of the Continuing Party, its Affiliates or Sublicensees (each, a “Continuing Seller”) hereunder to Third Parties during such period, less the following deductions with respect to such sales to the extent that such amounts are either included in the billing as a line item as part of the gross amount invoiced, or otherwise documented in accordance with Accounting Standards to be specifically attributable to actual sales of such Product:
