Common use of CONTINUING OBLIGATION OF THE SELLER Clause in Contracts

CONTINUING OBLIGATION OF THE SELLER. VG Funding shall provide all reasonable assistance necessary for Funding to resolve account problems raised by any Borrower, the Guarantor or the Secretary provided such account problems are attributable to or are alleged to be attributable to (a) an event occurring during the period VG Funding or the VG Funding Eligible Lender Trustee owned the related Purchased Loan, or (b) a payment made or alleged to have been made to VG Funding. Further, VG Funding and the VG Funding Eligible Lender Trustee shall agree that either VG Funding or the VG Funding Eligible Lender Trustee shall execute any financing statements at the request of Funding in order to reflect Funding’s interest in the Loans.

Further, VG Funding and the VG Funding Eligible Lender Trustee shall agree that either VG Funding or the VG Funding Eligible Lender Trustee shall execute reasonably cooperate in the preparation and filing of any financing statements at the request of Funding in order to reflect Funding’s interest in the Loans.

Further, VG Funding and the VG Funding Eligible Lender Trustee shall agree that either VG Funding or the VG Funding Eligible Lender Trustee shall agree to execute any financing statements at the request of Funding in order to reflect Funding’s 's interest in the Loans.
