Common use of Continuing Disclosure Clause in Contracts

Continuing Disclosure. The City hereby covenants and agrees that it will comply with and carry out all of the provisions of its Continuing Disclosure Certificate (the “Continuing Disclosure Certificate”) to be executed and delivered on the date of issuance and delivery of the Bonds. Notwithstanding any other provision of this Contract, failure of the City to comply with the Continuing Disclosure Certificate shall not be considered an Event of Default hereunder; however, any Bondholder may take such actions as may be necessary and appropriate, including seeking specific performance by court order, to cause the City to comply with its obligations under this Section 10.07.

The City hereby covenants and agrees that it will comply with and carry out all of the provisions of its Continuing Disclosure Certificate (the “Continuing Disclosure Certificate”) to be executed and delivered on the date of issuance and delivery of the Bonds. Notwithstanding any other provision of this ContractLease Agreement, failure of the City to comply with the Continuing Disclosure Certificate shall not be considered constitute an Event of Default hereunder; provided, however, that the Participating Underwriter or any Bondholder Owner or Beneficial Owner (as defined in the Continuing Disclosure Certificate) of the Bonds may take such actions as may be necessary and appropriateappropriate to compel performance by the City of its obligations under this Section 5.11, including seeking mandate or specific performance by court order, to cause the City to comply with its obligations under this Section 10.07.

Notwithstanding any other provision of this ContractFiscal Agent Agreement, failure of the City to comply with the Continuing Disclosure Certificate shall will not be considered an Event of Default hereunderDefault; however, the Original Purchaser of the Authority Bonds and any Bondholder may holder or beneficial owner of the Bonds may, take such actions as may be necessary and appropriateappropriate to compel performance, including seeking mandate or specific performance by court order, to cause the City to comply with its obligations under this Section 10.07.

Notwithstanding any other provision of this ContractInstallment Sale Agreement, failure of the City to comply with the Continuing Disclosure Certificate shall not be considered an Event of Default hereunder; however, any Bondholder Participating Underwriter or any holder or beneficial owner of the Bonds may take such actions as may be necessary and appropriate, including seeking specific performance by court order, to cause the City to comply with its obligations under this Section 10.075.10.

Notwithstanding Not- withstanding any other provision of this ContractLease Agreement, failure of the City to comply with the Continuing Disclosure Certificate shall not be considered constitute an Event of Default hereunder; pro- vided, however, that the Participating Underwriter or any Bondholder Owner or beneficial owner of the Bonds may take such actions as may be necessary and appropriate, including seeking specific appropriate to compel performance by court order, to cause the City to comply with of its obligations under this Section 10.075.11, including seeking mandate or specific per- formance by court order.

Notwithstanding any other provision of this ContractAgreement, failure of the City to comply with the Continuing Disclosure Certificate shall not be considered an Event of Default hereunderDefault; however, any Bondholder Participating Underwriter or any holder or beneficial owner of the Authority Bonds may take such actions as may be necessary and appropriate, including seeking specific performance by court order, described under the Continuing Disclosure Certificate to cause the City to comply with its obligations under this Section 10.07Section.

Continuing Disclosure. Notwithstanding any other provision of this Contract, failure of the City to comply with the Continuing Disclosure Certificate shall not be considered an Event event of Default hereunderdefault under this Contract; however, any Bondholder beneficial owner of the Bonds may take such actions as may be necessary and appropriate, including seeking mandamus or specific performance by court order, to cause the City to comply with its obligations under this Section 10.074.2.
