Common use of Continuing Application Clause in Contracts

Continuing Application. The terms of this Agreement will continue to apply throughout the Executive’s employment, regardless of: a) the Executive’s length of service; or b) any changes that may occur to the Executive’s position, duties and responsibilities, compensation or benefits, or other terms of employment; or c) any changes to the Company as a result of a reorganization, plan of arrangement, reverse take-over, merger or acquisition; unless the Executive and KMSC agree otherwise in writing. Without limiting the generality of the foregoing, Subsection 4.2 (Termination by the KMSC Without Just Cause) and Subsection 7.2 (Non-Solicitation) will continue to apply throughout the Executive’s employment (and for the period after termination as stated in Subsection 7.2), regardless of his length of service or any changes that may occur to his position, duties and responsibilities, compensation or benefits, or other terms of employment, unless the Executive and KMSC agree otherwise in writing.
