Common use of Continuation of Indemnification Clause in Contracts

Continuation of Indemnification. All agreements and obligations of the Company contained herein shall continue during the period that the Indemnitee is an executive officer of the Company (or is or was serving at the request of the Company as an agent of another enterprise, foreign or domestic) and shall continue thereafter so long as the Indemnitee shall be subject to any Proceeding by reason of the fact that the Indemnitee is or was an executive officer of the Company or is or was serving in any other capacity referred to in this Section 9. This Agreement shall continue in effect regardless of whether the Indemnitee continues to serve as an executive officer of the Company or as an agent of another enterprise at the Company’s request.

Continuation of Indemnification. All agreements and obligations of the Company contained herein in this Agreement shall continue during the period that the Indemnitee is a director, an executive officer officer, or both of the Company (or is or was serving at the request of the Company as an agent of another enterprise, foreign or domestic) and shall continue thereafter after that period so long as the Indemnitee shall be subject to any Proceeding by reason of the fact that the Indemnitee is or was a director, an executive officer officer, or both of the Company or is or was serving in any other capacity referred to in this Section 9. This Agreement shall continue in effect regardless of whether the Indemnitee continues to serve as a director, an executive officer officer, or both of the Company or as an agent of another enterprise at the Company’s request.

This Agreement shall continue in effect regardless of whether the Indemnitee continues to serve as an executive officer a director and/or Chief Operating Officer of the Company or as an agent of another enterprise at the Company’s request.

Continuation of Indemnification. All agreements and obligations of the Company contained herein shall continue during the period that the Indemnitee is an executive officer a director and/or Chief Financial Officer of the Company (or is or was serving at the request of the Company as an agent of another enterprise, foreign or domestic) and shall continue thereafter so long as the Indemnitee shall be subject to any Proceeding by reason of the fact that the Indemnitee is or was an executive officer a director and/or Chief Financial Officer of the Company or is or was serving in any other capacity referred to in this Section 9. This Agreement shall continue in effect regardless of whether the Indemnitee continues to serve as an executive officer a director and/or Chief Financial Officer of the Company or as an agent of another enterprise at the Company’s request.

Continuation of Indemnification. All agreements and obligations of the Company contained herein shall continue during the period that the Indemnitee is a director/an executive officer of the Company (or is or was serving at the request of the Company as an agent of another enterprise, foreign or domestic) ), regardless of whether the Indemnitee was appointed before or after the date of this Agreement and shall continue thereafter so long as the Indemnitee shall be subject to any possible Proceeding by reason of the fact that the Indemnitee is or was a director/an executive officer of the Company or is or was serving in any other capacity referred to in this Section 9. This Agreement shall continue in effect regardless of whether at the Indemnitee continues to serve as an executive officer request of the Company or as an agent of another enterprise at the Company’s requestreferred to in this Paragraph 11.
