Common use of Continuation of Indemnification Clause in Contracts

Continuation of Indemnification. All agreements and obligations of the Company contained herein shall continue during the period that Indemnitee is a director or officer of the Company, or is or was serving at the request of the Company as a director, officer, partner, venturer, proprietor, trustee, employee, agent or similar functionary of another corporation, partnership, joint venture, sole proprietorship, trust, nonprofit entity, employee benefit plan, or other enterprise, and shall continue thereafter so long as Indemnitee shall be subject to any possible claim or threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative, arbitrative or investigative, any appeal in such an action, suit, or proceeding, and any inquiry or investigation that could lead to such an action, suit, or proceeding, by reason of the fact that Indemnitee was an officer or director of the Company or served in any other capacity referred to herein.

All agreements and obligations of the Company contained herein shall continue during the period that Indemnitee Director is director of the Company and, while a director or officer of the Company, or is or was serving at the request of the Company as a director, officer, partner, venturer, proprietor, trustee, employee, agent agent, or similar functionary of another foreign or domestic corporation, partnership, joint venture, sole proprietorship, trust, nonprofit entity, employee benefit plan, or other enterprise, and shall continue thereafter so long as Indemnitee Director shall be subject to any possible claim or threatened, pending pending, or completed action, suit suit, or proceeding, whether civil, criminal, administrative, arbitrative arbitrative, or investigative, any appeal in such an action, suit, or proceeding, and any inquiry or investigation that could lead to such an action, suit, or proceeding, by reason of the fact that Indemnitee Director was an officer or a director of the Company or served serving in any other capacity referred to herein.
