Common use of Continuation and Survival Clause in Contracts

Continuation and Survival. All representations and warranties by ------------------------- the respective parties contained herein or made in writing pursuant to this Agreement shall survive the execution and delivery of this Agreement, the delivery of the Deed and transfer of title for a period ending on the later of six (6) months following the Closing or December 15, 2002, except as otherwise expressly provided in this Agreement. In addition, the provisions of this Agreement that contemplate performance after the Closing and the obligations of the parties not fully performed at the Closing shall survive the Closing and shall not be deemed to be merged into or waived by the instruments of Closing.
