The Administrative Agent may consult with Powell, Goldstein, Frazxx & Xurpxx XXX, Atlanta, Georgia, special counsel to the Administrative Agent, or with other legal counsel selected by it and shall not be liable for any action taken or suffered by it in good faith in consultation with such counsel and in reasonable reliance on such consultations.
