Consultation with Counsel. The Exchange Administrator may consult with counsel satisfactory to it in its reasonable judgment and any action taken, omitted to be taken or suffered by Exchange Administrator in performance of its duties hereunder in accordance with the written advice or opinion of such counsel shall be presumed to be taken in good faith.
