Common use of Construction Liability Clause in Contracts

Construction Liability. All liabilities with respect to products or services designed, manufactured, constructed, acquired for resale, sold, or leased by Seller to or from another party, prior to the Closing, without regard to (i) the basis or theory of the claim (negligence, strict tort, breach of express or implied warranty, fraud, failure to warn, test, inspect, or instruct, or otherwise); (ii) the nature of the damages sought (property, damage, economic loss, personal injury, wrongful death, punitive, or other); or (iii) whether the claim arose or is asserted before or after the Closing;
