Consistent Sublicenses Clause Samples

Consistent Sublicenses. All sublicenses granted by OPEXA of its rights hereunder shall be subject to the terms of this Agreement. OPEXA shall be responsible for its sublicensees and shall not grant any rights which are inconsistent with the rights granted to and obligations of OPEXA hereunder. Any act or omission of a sublicensee which would be a breach of this Agreement if performed by OPEXA shall be deemed to be a breach by OPEXA of this Agreement, provided that BAYLOR shall give OPEXA and sublicensee notice of any such breach or alleged breach hereof and an opportunity to cure such breach pursuant to the terms of Paragraph 11.2
