Common use of CONSIGNOR REPRESENTATION Clause in Contracts

CONSIGNOR REPRESENTATION. The Consignor hereby represents and warrants that the Consignor holds full title, and legally gives full authority for Consignee to sell all consigned items. HOLD HARMLESS. By signing below, Consignor releases and holds harmless the Wickenburg Art Club, Inc., their employees, officers, directors, volunteers and other participating artists from any and all liability for loss or damage or any kind. None of said parties assume any responsibility or liability for loss or damage of any kind. REMEDIES. A controversy or claim arising out of or relating to this Agreement, or its breach, will be settled by arbitration in accordance with the rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction. This Agreement and the interpretation of its terms shall be governed by and construed in accordance with the laws of the State of Arizona and subject to the exclusive jurisdiction of the federal and state courts located in Maricopa County, Arizona. In the event of litigation relating to the subject matter of this Agreement, the non-prevailing party will reimburse the prevailing party for all reasonable attorney fees and costs resulting therefrom.
