Common use of Consents of Governmental Authorities and Others Clause in Contracts

Consents of Governmental Authorities and Others. Except as set forth on Schedule 3.4, no consent, approval or authorization of, or registration, qualification or filing with, any federal, state or local governmental or regulatory authority, or any other Person, is required to be made by the Purchaser in connection with the execution, delivery or performance of this Agreement by the Purchaser or the consummation by the Purchaser of the transactions contemplated hereby, except where the failure to obtain such would not have a material adverse effect on the business financial condition, results of operations or properties of Purchaser.
