Common use of Consents, Licenses and Approvals Clause in Contracts

Consents, Licenses and Approvals. All governmental and third party approvals (including consents) necessary or, in the discretion of the Administrative Agent, advisable in connection with the continuing operations of the Borrower and its Subsidiaries and the execution, delivery and performance of the Loan Documents shall have been obtained and be in full force and effect, and all applicable waiting periods shall have expired without any action being taken or threatened by any competent authority which would restrain, prevent or otherwise impose adverse conditions on this Agreement and the other Loan Documents and the transactions contemplated hereby and thereby. The Administrative Agent shall have received, with a counterpart for each Lender, a certificate of the Borrower as to the foregoing.

The Administrative Agent shall have received, with a counterpart for each Lender, a certificate of the Borrower as to the foregoing.

The Administrative Agent shall have received, with a counterpart for each Lender, a certificate of the Borrower as to the foregoing.
