Consents and Notices. The execution, delivery and performance by Seller of, and the consummation of the transactions contemplated by, this Agreement does not require any notice to or approval or consent of any holder of any indebtedness or obligation of Seller, or any other person, or any notice to or filing or recording with, or any consent or approval of, any governmental body (other than as expressly provided herein or as required by applicable law).
