Common use of Consents and Approvals of Governmental Entities Clause in Contracts

Consents and Approvals of Governmental Entities. There is no requirement applicable to Assignor to make any filing, declaration or registration with, or to obtain any permit, authorization, consent or approval of, any Governmental Entity as a condition to the lawful consummation by Assignor of the transactions contemplated by this Agreement and the ancillary documents. “Governmental Entity” shall mean any court, or any Federal, state municipal or other governmental authority, department, commission, board, agency or other instrumentality (domestic or foreign).
