Except with respect to applicable State and Federal securities laws, no consent, approval or authorization of, or declaration, filing or registration with, any Governmental Body is required to be made or obtained by Columbialum or any of its Subsidiaries in connection with the execution, delivery and performance of this Agreement by Columbialum or the consummation of the sale of the Columbialum Shares to the Investor.
