Consents and Approvals of Governmental Authorities. Etc. Except as disclosed on Schedule 5.04, no consent, approval or authorization of, or declaration, filing or registration with, any governmental or regulatory authority, or consent or approval of any other person or entity, is required in connection with the execution, delivery and performance of this Agreement or the consummation of the transactions contemplated hereby.

Except as disclosed on for the consents and approvals listed in Schedule 5.046.1, no consent, approval or authorization of, or declaration, filing or registration with, any governmental or regulatory authority, or consent or approval of any other person or entity, authority is required to be obtained or made by Seller or Companies in connection with the Seller's execution, delivery and performance of this Agreement or and the consummation of the transactions contemplated herebyherein by Seller and the Companies.
