No consent, approval, authorization, or authorization waiver of, or declaration, filing, or registration with, or notification to, any governmental or regulatory authority is required to be made or obtained by the Seller in connection with the execution, delivery, delivery and performance of this Agreement by Seller or any Xenith of the other Acquisition Operative Documents to which it is a party or the consummation by Seller and Xenith of the Sellertransactions contemplated thereby.

No To the actual knowledge of Seller, and except as set forth on Schedule 3.4, no consent, approval, approval or authorization of, or declaration, filing, filing or registration with, any governmental or regulatory authority is required to be made or obtained by the Seller in connection with the execution, delivery, and delivery or performance of this Agreement or any of the other Acquisition Documents by the Seller.

No consent, approval, approval or authorization of, or declaration, filing, filing or registration with, any governmental or regulatory authority is required to be made or obtained by the Seller Purchaser in connection with the execution, delivery, and performance execution or delivery by the Purchaser of this Agreement or any of the other Acquisition Documents Other Buyer Documents, the performance by the SellerPurchaser of their obligations thereunder or the consummation by the Purchaser of the transactions contemplated hereby or thereby.

No Except as disclosed in SCHEDULE 4.12, no consent, approval, approval or authorization of, or declaration, filing, filing or registration with, any governmental or regulatory authority is required to be made or obtained by the Seller Sellers in connection with the execution, delivery, delivery and performance of this Agreement or any of by Sellers and the other Acquisition Documents by the Sellertransactions contemplated hereby.

Purchaser has obtained or is in the Sellerprocess of obtaining all material approvals, authorizations, licenses and permits necessary to the operation of the Business.
