Common use of Consent to Suit Clause in Contracts

Consent to Suit. Subject to the provisions of Section 13(b), any legal proceeding arising out of or relating to this Agreement shall be instituted in a state or federal court of general jurisdiction located in the Commonwealth of Pennsylvania, and the Employee hereby consents to the personal and exclusive jurisdiction of such court and hereby waives any objection that the Employee may have to the laying of venue of any such proceeding and any claim or defense of inconvenient forum. If an action at law or in equity is necessary to enforce or interpret the terms of this Agreement, the prevailing party shall be entitled to recover, in addition to any other relief, reasonable attorney's fees, costs and disbursements. In the event the Company institutes litigation in connection with the enforcement of the terms and provisions of this Agreement, and in the event that the Company obtains a preliminary or permanent injunction or a judgment for damages, the Company, in addition to any other sums or equitable relief to which it may be entitled, shall be entitled to an award against the Employee in an amount equal to all fees and costs incurred by the Company in connection with such litigation, including without limitation all court costs, costs of investigation and reasonable attorneys' fees incurred in connection with the litigation
