Common use of Consent to Amendments Clause in Contracts

Consent to Amendments. Except as otherwise expressly provided herein, the provisions of this Agreement may be amended and the Company may take any action herein prohibited, or omit to perform any act herein required to be performed by it, only if the Company has obtained the written consent of Management Stockholder. No other course of dealing between the Company and Management Stockholder or any delay in exercising any rights hereunder shall operate as a waiver of any rights of any such Person.

Consent to Amendments. No other course of dealing between the Company and Management Stockholder the Purchaser or any delay in exercising any rights hereunder shall operate as a waiver of any rights of any such Personthe Purchaser.

Consent to Amendments. Except as otherwise expressly provided herein, the provisions of this Agreement may be amended or waived and the Company may take any action herein prohibited, or omit to perform any act herein required to be performed by it, only if the Company has obtained the prior written consent of Management StockholderPurchaser. No other course of dealing between the Company and Management Stockholder Purchaser or any delay in exercising any rights hereunder or under the Stockholders Agreement or the Stock Purchase Warrant shall operate as a waiver of any rights of any such Personholders.

No other course the holders of dealing between at least two-thirds of the Company and Management Stockholder or any delay in exercising any rights hereunder shall operate Common Stock held by the parties subject to this Agreement (voting together as a waiver of any rights of any such Personsingle class).

No other course of dealing between the Company and Management Stockholder the holder of any Investor Securities or any delay in exercising any rights hereunder or under the Certificate of Incorporation shall operate as a waiver of any rights of any such Personholders.

No other course of dealing between the Company and Management Stockholder the holder of any Securities or any delay in exercising any rights hereunder or under the JV Agreement or the Articles shall operate as a waiver of any rights of any such Personholders.
