Conflicts Clause Clause Samples

A Conflicts Clause establishes which terms will prevail if there is an inconsistency between the contract and other related documents or agreements. Typically, it specifies a hierarchy, stating that the main contract takes precedence over appendices, schedules, or external references in the event of conflicting provisions. This clause ensures clarity and prevents disputes by providing a clear rule for resolving contradictions within the contractual documentation.

Conflicts Clause. Owner warrants that it has not, and will not, execute any other agreement with provisions contradictory of, or in opposition to, the provisions hereto, and that, in any event, the requirements of this Agreement are paramount and controlling as to the rights and obligations set forth and supersede any other requirements in conflict therewith.
