Conflicts and Pending Action. There is no agreement to which Developer is a party or to Developer’s knowledge binding on Developer which is in conflict with this Agreement. There is no action or proceeding pending or, to Developer’s knowledge, threatened against Developer which challenges or impairs Developer’s ability to execute or perform its obligations under this Agreement.
