Common use of Conflicting Dedications Clause in Contracts

Conflicting Dedications. Producer and each Rice Subsidiary shall have the right to comply with each of the Conflicting Dedications set forth in Exhibit D hereto and any other Conflicting Dedication entered into by a non-Affiliated predecessor-in-interest to Producer or such Rice Subsidiary that is applicable as of the date of acquisition thereof to any Dedicated Property acquired after the Effective Date (but not any entered into in connection with such acquisition); provided, however, that Producer and each Rice Subsidiary shall each have the right to comply with Conflicting Dedications only until the last Day of the Month in which the termination of such Conflicting Dedication occurs and shall not take any voluntary action (including the exercise of any right to extend) to extend the term of such Conflicting Dedication beyond the minimum term provided for in the document evidencing such Conflicting Dedication. Producer represents that, except as set forth in Exhibit D, Dedicated Gas is not as of the Effective Date subject to any Conflicting Dedication. If Dedicated Gas produced from a Well on a Well Pad is subject to a Conflicting Dedication that Producer or such Rice Subsidiary has the right to comply with under this Section 2.2, Producer has the right, in complying with such Conflicting Dedication, to deliver all Dedicated Gas from such Well Pad in accordance with the Conflicting Dedication, even if all ▇▇▇▇▇ on such Well Pad are not subject to such Conflicting Dedication.

Producer represents thatTo Producer’s knowledge, except as set forth in Exhibit Dthe Dedicated Saltwater is not, Dedicated Gas is not as of the Effective Date Date, subject to any Conflicting Dedication. If Dedicated Gas Saltwater produced from a Well on a Well Pad is subject to a Conflicting Dedication that Producer or such Rice Subsidiary has the right to comply with under this Section 2.2, Producer has the right, in complying with such Conflicting Dedication, to deliver all Dedicated Gas Saltwater from such Well Pad in accordance with the Conflicting Dedication, even if all ▇▇▇▇▇ on such Well Pad are not subject to such Conflicting Dedication.

Conflicting Dedications. Producer and each Rice Subsidiary shall have the right to comply with each of the Conflicting Dedications set forth in Exhibit D hereto A and any other Conflicting Dedication (a) entered into by a non-Affiliated predecessor-in-interest to Producer or such Rice Subsidiary that is applicable as of the date of acquisition thereof to any Dedicated Property Oil and Gas Interests acquired by Producer or its Affiliates after the Effective Date (but not any entered into in connection with such acquisition)) or (b) entered into pursuant to a Third Party Bid in accordance with Section 3.4; provided, however, that Producer and each Rice Subsidiary shall each have the right to comply with Conflicting Dedications only until the last first Day of the Month in which following the termination of such Conflicting Dedication occurs and shall not take any voluntary action (including the exercise of any right to extend) to extend the term of such Conflicting Dedication beyond the minimum term provided for in the document evidencing such Conflicting Dedication. Producer represents that, except as set forth in Exhibit DA, Dedicated Producer Gas is not as of the Effective Date subject to any Conflicting Dedication. If Dedicated Producer Gas produced from a Well well on a Well Pad well pad is subject to a Conflicting Dedication that Producer or such Rice Subsidiary has the right to comply with under this Section 2.2, Producer has the right, in complying with such Conflicting Dedication, to deliver all Dedicated Producer Gas from such Well Pad well pad in accordance with the Conflicting Dedication, even if all ▇▇▇▇▇ on such Well Pad well pad are not subject to such Conflicting Dedication.

Conflicting Dedications. Producer and each Rice Subsidiary Shipper shall have the right to comply with each of the Conflicting Dedications set forth in Exhibit D E hereto and any other Conflicting Dedication entered into by a non-Affiliated predecessor-in-interest to Producer or such Rice Subsidiary Shipper that is applicable as of the date of acquisition thereof to any Dedicated Property acquired after the Effective Date (but not any entered into in connection with such acquisition); provided, however, that Producer and each Rice Subsidiary Shipper shall each have the right to comply with Conflicting Dedications only until the last first Day of the Month in which following the termination of such Conflicting Dedication occurs and shall not take any voluntary action (including the exercise of any right to extend) to extend the term of such Conflicting Dedication beyond the minimum term provided for in the document evidencing such Conflicting Dedication. Producer Shipper represents that, except as set forth in Exhibit DE, Dedicated Gas Production is not as of the Effective Date subject to any Conflicting Dedication. If Dedicated Gas Production produced from a Well on a Well Pad is subject to a Conflicting Dedication that Producer or such Rice Subsidiary Shipper has the right to comply with under this Section 2.2, Producer Shipper has the right, in complying with such Conflicting Dedication, to deliver all Dedicated Gas Production from such Well Pad in accordance with the Conflicting Dedication, even if all ▇▇▇▇▇ on such Well Pad are not subject to such Conflicting Dedication.

Producer represents thatTo Producer’s knowledge, except as set forth in for any Gas produced from the lands or ▇▇▇▇▇ identified on Exhibit DC, the Dedicated Gas is not not, as of the Effective Date Date, subject to any Conflicting Dedication. If Dedicated Gas produced from a Well on a Well Pad is subject to a Conflicting Dedication that Producer or such Rice Subsidiary has the right to comply with under this Section 2.2, Producer has the right, in complying with such Conflicting Dedication, to deliver all the Dedicated Gas from such Well Pad in accordance with the Conflicting Dedication, even if all ▇▇▇▇▇ on such Well Pad are not subject to such Conflicting Dedication.

Conflicting Dedications. Producer and each Rice Subsidiary Shipper shall have the right to comply with each of the Conflicting Dedications set forth in Exhibit D hereto and any other Conflicting Dedication entered into by a non-Affiliated predecessor-in-interest to Producer or such Rice Subsidiary that is applicable as of the date of acquisition thereof to any Dedicated Property acquired after the Effective Date (but not any Conflicting Dedication entered into in connection with such acquisition); provided, however, that Producer and each Rice Subsidiary Shipper shall each have the right to comply with Conflicting Dedications only until the last Day of the Month in which the termination of such Conflicting Dedication occurs and neither Producer nor Shipper shall not take any voluntary action (including the exercise of any right to extend) to affirmatively extend the term of such Conflicting Dedication beyond the minimum term provided for in the document evidencing such Conflicting DedicationDedication or allow the term of such Conflicting Dedications to extend beyond its primary or initial term pursuant to the operation of an “evergreen” or other similar provision if Producer or Shipper has the ability to terminate such Conflicting Dedication without incurring any costs, penalties or expenses. Producer represents thatTo Producer’s and Shipper’s knowledge, except for the Dedicated Crude Oil produced from the ▇▇▇▇▇ identified as set forth in “▇▇▇▇▇ Subject to Conflicting Dedications” on Exhibit D, the Dedicated Gas Crude Oil is not not, as of the Effective Date Date, subject to any Conflicting Dedication. If Dedicated Gas Crude Oil produced from a Well on a Well Pad is subject to a Conflicting Dedication that Producer or such Rice Subsidiary has and Shipper have the right to comply with under this Section 2.22.3, Producer has and Shipper have the right, in complying with such Conflicting Dedication, to deliver all the Dedicated Gas Crude Oil from such Well Pad in accordance with the Conflicting Dedication, even if all ▇▇▇▇▇ on such Well Pad are not subject to such Conflicting Dedication.

Conflicting Dedications. Producer and each Rice Subsidiary shall have the right to comply with each of the Conflicting Dedications set forth in Exhibit D B hereto and any other Conflicting Dedication entered into by a non-Affiliated predecessor-in-predecessor in interest to Producer or such Rice Subsidiary that is applicable as of the date of acquisition thereof to any Dedicated Property acquired after the Effective Date (but not any entered into in connection with such acquisition); provided, however, that Producer and each Rice Subsidiary shall each have the right to comply with Conflicting Dedications only until the last first Day of the Month in which following the termination of such Conflicting Dedication occurs and shall not take any voluntary action (including the exercise of any right to extend) to extend the term of such Conflicting Dedication beyond the minimum term provided for in the document evidencing such Conflicting Dedication. Producer represents that, except as set forth in Exhibit DB, Dedicated Gas is not as of the Effective Date subject to any Conflicting Dedication. If Dedicated Gas produced from a Well well on a Well Pad well pad is subject to a Conflicting Dedication that Producer or such Rice Subsidiary has the right to comply with under this Section 2.2, Producer has the right, in complying with such Conflicting Dedication, to deliver all Dedicated Gas from such Well Pad well pad in accordance with the Conflicting Dedication, even if all ▇▇▇▇▇ on such Well Pad well pad are not subject to such Conflicting Dedication.

Conflicting Dedications. Producer and each Rice Subsidiary shall have the right to comply with each of the Conflicting Dedications set forth in Exhibit D hereto and that is applicable to the Production Area entered into prior to the Effective Date or any other Conflicting Dedication entered into by a non-Affiliated predecessor-in-interest to Producer or such Rice Subsidiary that is applicable as of the date of acquisition thereof to any Dedicated Property acquired after the Effective Date (but not any Conflicting Dedication entered into in connection with such acquisition); provided, however, that Producer and each Rice Subsidiary shall each have the right to comply with Conflicting Dedications only until the last Day of the Month in which the termination of such Conflicting Dedication occurs and Producer shall not take any voluntary action (including the exercise of any right to extend) to affirmatively extend the term of such Conflicting Dedication beyond the minimum term provided for in the document evidencing such Conflicting Dedication. Dedication or allow the term of such Conflicting Dedications to extend beyond its primary or initial term pursuant to the operation of an “evergreen” or other similar provision if Producer represents thathas the ability to terminate such Conflicting Dedication without incurring any costs, except as set forth in Exhibit D, Dedicated Gas is not as of the Effective Date subject to any Conflicting Dedicationpenalties or expenses. If Dedicated Gas produced from a Well on a Well Pad Delivery Point is subject to a Conflicting Dedication that Producer or such Rice Subsidiary has the right to comply with under this Section 2.2, Producer has shall have the right, in complying with such Conflicting Dedication, to deliver all Dedicated Gas from purchase Freshwater at such Well Pad Delivery Point in accordance with the Conflicting Dedication, even if all ▇▇▇▇▇ on such Well Pad are not subject to such Conflicting Dedication.

Conflicting Dedications. Producer and each Rice Subsidiary Notwithstanding anything in this Agreement to the contrary, Shipper shall have the right to comply with each of the Conflicting Dedications set forth in Exhibit D hereto F and any other Conflicting Dedication entered into by a non-Affiliated predecessor-in-interest to Producer or such Rice Subsidiary that is applicable as of the date of acquisition thereof of the applicable Dedicated Property (but not entered into in connection with such acquisition, provided that assumption of an existing dedication in an acquisition shall not be deemed to be entered into in connection with such acquisition) to any Dedicated Property oil and/or gas leases, mineral interests and other similar interests (a) acquired by Shipper or any of its Affiliates after the Effective Execution Date and (b) which are dedicated under this Agreement (but not any entered into in connection with such acquisition, provided that assumption of an existing dedication in an acquisition shall not be deemed to be entered into in connection with such acquisition); provided, however, that Producer and each Rice Subsidiary Shipper shall each have the right to comply with the applicable Conflicting Dedications Dedication only until the last first Day of the Month in which following the termination by Shipper of such Conflicting Dedication occurs and Dedication. Shipper shall not take any voluntary action (including have the exercise of any right to extend) to extend any Conflicting Dedication beyond the primary term of such Conflicting Dedication beyond in accordance with the minimum terms of the agreement providing for such Conflicting Dedication unless Gatherer provides written notice to Shipper prior to the expiration of such primary term provided for in the document evidencing of Gatherer’s irrevocable election to gather all Dedicated Production subject to such Conflicting Dedication. Producer As of the Execution Date, Shipper represents that, except as set forth in Exhibit DF, Dedicated Gas is not Production from Dedicated Properties owned by Shipper and/or its Affiliates as of the Effective Execution Date is not subject to any Conflicting Dedication. If Dedicated Gas produced from a Well on a Well Pad is subject to a Conflicting Dedication that Producer or such Rice Subsidiary has the right to comply with under this Section 2.2, Producer has the right, in complying with such Conflicting Dedication, to deliver all Dedicated Gas from such Well Pad in accordance with the Conflicting Dedication, even if all ▇▇▇▇▇ on such Well Pad are not subject to such other Conflicting Dedication.
