CONFLICT OR DISCREPANCY Clause Samples
The "Conflict or Discrepancy" clause defines how to resolve situations where different parts of a contract or related documents contain inconsistent or contradictory terms. Typically, this clause establishes a hierarchy among the contract documents, specifying which document or provision will take precedence in the event of a conflict. For example, if the main agreement and an attached schedule differ on a key term, the clause will clarify which version controls. Its core practical function is to ensure clarity and prevent disputes by providing a predetermined method for resolving inconsistencies within contractual documentation.
