Common use of Confidentiality of the Agreement Clause in Contracts

Confidentiality of the Agreement. Neither party will disclose any terms or conditions of this Agreement to any third party, without the prior written consent of the other party, except: (i) as required by law; (ii) to its attorneys, accountants, and other professional advisors under a duty of confidentiality; or (iii) to a third party under a duty of confidentiality in connection with financing or a proposed merger or a proposed sale of all or part of such party’s business which relates to this Agreement.

Confidentiality of the Agreement. The terms and conditions of this Agreement constitute the Confidential information of both Parties. Neither party Party will disclose any terms or conditions of this Agreement to any third party, without the prior written consent of the other partyParty, except: (i) as required by law; (ii) to its attorneys, accountants, and other professional advisors under a duty of confidentiality; or (iii) by Licensor, to a third party under a duty of confidentiality in connection with financing financing, investment or a proposed merger or a proposed sale of all or part of such partyLicensor’s business which relates related to this Agreement.
