CONFIDELITY Sample Clauses

The CONFIDELITY clause is designed to protect sensitive information exchanged between parties by requiring them to keep such information confidential. In practice, this clause typically applies to proprietary data, trade secrets, or any non-public information shared during the course of a business relationship, and it obligates the receiving party to use reasonable measures to prevent unauthorized disclosure. Its core function is to safeguard valuable information, thereby reducing the risk of competitive harm or misuse of confidential materials.
CONFIDELITY. 31.1 Each party undertakes that it shall not at any time, disclose to any person any confidential information concerning the business, affairs, customers, clients or suppliers of the other party or of any member of the group of companies to which the other party belongs, except as permitted by ▇▇▇▇▇▇ 2 and 31.3. 31.2 Each party may disclose the other party’s confidential information: (a) to its employees, officers, representatives or advisers who need to know such information for the purposes of exercising the party’s rights or carrying out its obligations under or in connection with this agreement. Each party shall ensure that its employees, officers, representatives or advisers to whom it discloses the other party’s confidential information comply with this Clause; and (b) as may be required by law, a court of competent jurisdiction or any governmental or regulatory authority. 31.3 We may disclose confidential information to: (a) the person or organisation which introduced or referred you to us, solely as necessary and limited to the purpose of paying such person or organisation an introductory/referral or affiliate fee; and (b) third party suppliers which assist us in our goal to prevent fraud and/or money laundering and/or terrorist financing, on the basis that they are under an obligation no less onerous than the duty of confidentiality contained in these Terms.
CONFIDELITY. Both organizations agree not to release any information which may be regarded as privileged, or strategic to collaborative projects. Any strategic information may only be released with the consent of both parties.
