Conduct of Business by Spinco and Heinz. Pending the Merger. Following the date of this Agreement and prior to the earlier of the Effective Time or the Termination Date, except as specifically contemplated or permitted by this Agreement, the Separation Agreement or the other Transaction Agreements or described in Section 6.1 of the Spinco Disclosure Letter or to the extent that Del Monte shall otherwise consent in writing, which consent shall not be unreasonably withheld or delayed, Heinz and Spinco agree, as to themselves and their respective Subsidiaries:
