Conditions to the Obligations to Close. The obligations of the Company to sell the Offered Shares to Apollo and the obligations of Apollo to purchase and pay for the Offered Shares at the Closing are subject only to the closing of the Underwritten Offering pursuant to the Underwriting Agreement.
