Conditions to the Obligations of the Purchasers to Purchase the Delayed Draw Notes on the Second Closing Date. The obligation of each Purchaser to purchase its respective Delayed Draw Note, fund its respective portion of the Delayed Draw Purchase Price on the Second Closing Date and perform any obligations hereunder shall be subject to the reasonable satisfaction as determined by, or waived by, such Purchaser of the following conditions on or before the Second Closing Date, as applicable; provided, that any waiver of a condition shall not be deemed a waiver of any breach of any representation, warranty, agreement, term or covenant, as specifically set forth elsewhere in this Agreement, or of any misrepresentation by the Company.
