Conditions Precedent to Transferees Obligation to Close. The performance by the Transferee of all obligations under Article 3.1 as of the Closing Date and of all obligations otherwise confirmed by the Parties in writing (if any) shall be conditioned upon satisfaction or waiver by the Transferee in writing at its own discretion of all of the following conditions. In addition, upon the prior written consent of the Transferee, the Conditions Precedent to Closing as set forth in Articles 7.1.6 and 7.1.7 may be satisfied within thirty (30) days following the Closing Date or any other period agreed by the Transferee in writing.
