Conditions Precedent to the Substitution of a Project. Borrower shall have the right to replace one Initial Project (other than the Millennium Project) with a Substitute Project upon the prior satisfaction (or written waiver by Administrative Agent with the consent of (x) the Majority Banks or (y) in the case of Section 3.11.6, each of the Banks and each of the Lender Groups) of each of the following conditions precedent:
