Common use of Conditions Precedent to implementation of the Scheme Clause in Contracts

Conditions Precedent to implementation of the Scheme. Subject to this clause 4, the Scheme will not become Effective and the obligations of the parties with respect to Implementation (including Avita US’s obligation to provide the Scheme Consideration) do not become binding unless and until each of the following Conditions is satisfied or (to the extent they can be) waived under clause 4.2:
