Conditions Precedent to a Tranche Notice. The right of the Company to deliver a Tranche Notice and the obligation of the Investor to accept a Tranche Notice and to acquire and pay for the Preferred Shares are subject to the satisfaction (or where legally permissible, the waiver), on the Tranche Notice Date, of each of the conditions set forth below.
