Conditions Precedent Term. This Agreement is contingent upon the closing of the Purchase Agreement. The Executive's full-time employment hereunder shall commence upon the closing of the Purchase Agreement (the "Effective Date"), and, unless renewed or modified by written agreement between the Company and the Executive, the Employment Period will terminate on the second anniversary following the Effective Date; provided, that (a) the Employment Period shall terminate prior to such date upon the Executive's resignation, death or Permanent Disability and (b) the Employment Period may be terminated by the Company at any time prior to such date, if such termination shall be for Cause.
