Conditions Performed. Each of the terms, covenants and conditions of this Agreement to be complied with and performed by Seller on or before the Closing shall have been duly complied with and performed in all material respects, or Purchaser shall have waived such compliance or performance, and all documents to be delivered or actions to be taken by Seller pursuant to Sections 12.2 and 12.3 shall have been delivered or performed.
