Common use of Conditions of Underwriter’ Obligations Clause in Contracts

Conditions of Underwriter’ Obligations. The obligations of the Underwriter hereunder are subject to the accuracy of all of the representations and warranties of the Company and the Selling Shareholder contained in Section 1 hereof or in certificates of any officer of the Company or any subsidiary of the Company or on behalf of the Selling Shareholder delivered pursuant to the provisions hereof, to the performance by the Company of its covenants and other obligations hereunder, and to the following further conditions:

Conditions of Underwriter’ Obligations. The obligations of the Underwriter hereunder are subject to the accuracy of all accuracy, when made and on each Delivery Date, of the representations and warranties of the Company and the Selling Shareholder contained in Section 1 hereof or in certificates of any officer of the Company or any subsidiary of the Company or on behalf of the Selling Shareholder delivered pursuant to the provisions hereofherein, to the performance by the Company of its covenants and other obligations hereunder, and to each of the following further additional terms and conditions:

Conditions of Underwriter’ Obligations. The obligations of the Underwriter hereunder are subject to the accuracy of all accuracy, when made and on the applicable Delivery Date, of the representations and warranties of the Company General Partner and the Selling Shareholder Partnership contained in Section 1 hereof or in certificates of any officer of the Company or any subsidiary of the Company or on behalf of the Selling Shareholder delivered pursuant to the provisions hereofherein, to the performance by the Company General Partner and the Partnership of its covenants and other their respective obligations hereunder, and to each of the following further additional terms and conditions:

The obligations of the Underwriter hereunder are subject to the accuracy accuracy, when made and as of all the Applicable Time and as of the Closing Date or any Option Closing Date, of the representations and warranties of the Company and contained herein, to the Selling Shareholder contained in Section 1 hereof or accuracy of the statements made in certificates of any officer of the Company or any subsidiary of the Company or on behalf of the Selling Shareholder its subsidiaries delivered pursuant to the provisions hereof, to the performance by the Company of its their covenants and other obligations hereunder, and to the following further conditions:

Conditions of Underwriter’ Obligations. The obligations of the Underwriter hereunder are subject to the accuracy of all of the representations and warranties on the part of the Company and the Selling Shareholder contained in Section 1 Manager on the date hereof or in certificates and at the time of any officer of the Company or any subsidiary of the Company or on behalf of the Selling Shareholder delivered pursuant to the provisions hereofpurchase, to the performance by the Company of its covenants and other obligations hereunder, hereunder and to the following further conditionsadditional conditions precedent:

The obligations of the Underwriter hereunder are subject to the accuracy of all of the representations and warranties of the Company and the Selling Shareholder Operating Partnership contained in Section 1 hereof or in certificates of any officer or authorized representative of the Company or any subsidiary of the Company or on behalf of the Selling Shareholder Operating Partnership delivered pursuant to the provisions hereof, to the performance by the Company or the Operating Partnership of its covenants and other obligations hereunder, and to the following further conditions:

Conditions of Underwriter’ Obligations. The obligations of the Underwriter hereunder are subject to the accuracy of all of the representations and warranties of the Company and the Selling Shareholder contained in Section 1 hereof herein or in certificates of any officer of the Company or any subsidiary of the Company or on behalf of the Selling Shareholder its subsidiaries delivered pursuant to the provisions hereof, to the performance by the Company of its covenants and other obligations hereunder, and to the following further conditions:

The respective obligations of the Underwriter hereunder are subject to the accuracy of all accuracy, when made and on the Delivery Date, of the representations and warranties of the Company and the Selling Shareholder Stockholders contained in Section 1 hereof or in certificates of any officer of the Company or any subsidiary of the Company or on behalf of the Selling Shareholder delivered pursuant to the provisions hereofherein, to the performance by the Company and the Selling Stockholders of its covenants and other their respective obligations hereunder, and to each of the following further additional terms and conditions:

The respective obligations of the Underwriter hereunder are subject to the accuracy of all accuracy, when made and on each Delivery Date, of the representations and warranties of the Company and the Selling Shareholder Stockholders contained in Section 1 hereof or in certificates of any officer of the Company or any subsidiary of the Company or on behalf of the Selling Shareholder delivered pursuant to the provisions hereofherein, to the performance by the Company and the Selling Stockholders of its covenants and other their respective obligations hereunder, and to each of the following further additional terms and conditions:

Conditions of Underwriter’ Obligations. The obligations of the Underwriter hereunder are subject to the accuracy of all of the representations and warranties of the Company and the Selling Shareholder Operating Partnership contained in Section 1 hereof or in certificates of any officer or authorized representative of the Company or any subsidiary of the Company or on behalf of the Selling Shareholder Operating Partnership delivered pursuant to the provisions hereof, to the performance by each of the Company and the Operating Partnership of its covenants and other obligations hereunder, and to the following further conditions:

Conditions of Underwriter’ Obligations. The obligations of the Underwriter hereunder are subject to the accuracy accuracy, when made and as of all the Applicable Time and on the Closing Date and each Option Closing Date, of the representations and warranties of the Company and contained herein, to the Selling Shareholder contained in Section 1 hereof or in certificates accuracy of any officer the statements of the Company or made in any subsidiary of the Company or on behalf of the Selling Shareholder delivered certificates pursuant to the provisions hereof, to the performance by the Company of its covenants and other obligations hereunder, and to each of the following further additional terms and conditions:
