Condition on Transfer. Any proposed transfer by any Shareholder pursuant to Section 3.7(i) of the Shareholders' Agreement shall be conditioned on such transferee executing and delivering to the Chase Group Representative an agreement in form and substance satisfactory to the Chase Group Representative pursuant to which the transferee agrees to be bound by the terms of this Agreement.
