Common use of Conclusive Statement Clause in Contracts

Conclusive Statement. Any indebtedness of the Debtor to the Creditor regarding the Obligations which is acknowledged by the Debtor, or agreed or settled by the Creditor and the Debtor as being outstanding shall be binding and conclusive upon the Guarantor and, absent manifest mathematical error, any such indebtedness which is stated to be outstanding in a certificate of an officer of the Creditor shall be prima facie evidence thereof.
