Common use of Computer Data Clause in Contracts

Computer Data. A. In the event this Agreement terminates and/or the Agency refuses or is unable to administer and run-off business produced under this Agreement, then in that event the Agency shall immediately provide the Company with a tape back- up of all programs and data libraries, including updated source code and data files, used in the production and administration of business hereunder (the "Data"). The Company agrees that it shall utilize the Data solely for the purpose of administering and running off the business produced hereunder. B. The Agency hereby grants, at no cost to the Company, a limited license to the Company to use the Agency's software ("Software") in connection with the administration and run-off of the business produced hereunder. The Agency shall deliver the Software, together with the source and object code for the Software, as well as all necessary manuals, immediately upon delivery of the Data to the Company as provided in the preceding paragraph. The Company grants the Agency, at no cost during the term of this Agreement and subsequent to the term of this Agreement in connection with the administration and run-off of the business produced, the limited license to use the Company's software programs for the purposes of this Agreement.
