The Seller shall comply in all material ------------------------- respects with all applicable laws, rules, regulations and orders, and preserve and maintain its corporate existence, rights, franchises, qualifications and privileges, except to the extent that the failure to do so to comply with such laws, rules and regulations or the failure so to preserve and maintain such rights, franchises, qualifications and privileges would not be reasonably expected to have a Material Adverse Effect.

Compliance with Laws, Etc. The Seller shall will comply in all material respects with all applicable laws, rules, regulations and orders, orders and preserve and maintain its corporate existence, rights, franchises, qualifications qualifications, and privileges, privileges except to the extent that the failure so to comply with such laws, rules and regulations or the failure so to preserve and maintain such existence, rights, franchises, qualifications qualifications, and privileges would could not have give rise to a reasonable possibility of a Material Adverse Effect.

Compliance with Laws, Etc. The Such Seller shall will comply in all material respects with all applicable laws, rules, regulations and orders, Laws and preserve and maintain its corporate or limited liability company, as applicable, existence, rights, franchises, qualifications and privileges, privileges except to the extent that the failure so to comply with such laws, rules and regulations Laws or the failure so to preserve and maintain such rights, franchises, qualifications qualifications, and privileges would not have a Material Adverse Effectimpair the collectibility of the Receivables or the ability of such Seller to perform its obligations under this Agreement.

The Seller shall will comply in all material respects with all applicable laws, rules, regulations and orders, Laws and preserve and maintain its corporate limited liability company existence, rights, franchises, qualifications qualifications, and privileges, privileges except to the extent that the failure so to comply with such laws, rules and regulations Laws or the failure so to preserve and maintain such rights, franchises, qualifications qualifications, and privileges would not have a Material Adverse Effectimpair the collectibility of the Receivables or the ability of the Seller to perform its obligations under the Transaction Documents.

The Seller shall comply is in compliance in all material respects with all applicable laws, rulesstatutes, regulations and ordersorders of, and preserve all applicable restrictions imposed by, all governmental bodies in respect of the conduct of its business and maintain the ownership of its corporate existenceproperty (including applicable statutes, rightsregulations, franchises, qualifications orders and privilegesrestrictions relating to environmental standards and controls), except to such noncompliance as would not, in the extent that aggregate, have an adverse effect on the failure so to comply with such laws, rules and regulations or the failure so to preserve and maintain such rights, franchises, qualifications and privileges would not have a Material Adverse EffectSeller.
