Common use of Compliance with Laws and Contractual Obligations Clause in Contracts

Compliance with Laws and Contractual Obligations. Comply in all material respects with the requirements of all Applicable Laws (including without limitation, Anti-Corruption Laws and applicable Sanctions), all Contractual Obligations and all orders, writs, injunctions and decrees applicable to it or to its business or property, except in such instances in which (a) such requirement of Applicable Laws, Contractual Obligation or order, writ, injunction or decree is being contested in good faith by appropriate proceedings diligently conducted; or (b) the failure to comply therewith could not reasonably be expected to have a Material Adverse Effect.

Comply in all material respects with the requirements of all Applicable (a) Contractual Obligations and (b) Laws (including without limitation, Anti-Corruption Environmental Laws and applicable Sanctions), all Contractual Obligations ERISA matters) and all orders, writs, injunctions and decrees applicable to it or to its business or property, except in such instances in which (ai) such requirement of Applicable LawsContractual Obligation, Contractual Obligation Law or order, writ, injunction or decree is being contested in good faith by appropriate proceedings diligently conducted; or (bii) the failure to comply therewith could would not reasonably be expected to have a Material Adverse Effect.

Comply in all material respects with the requirements of all Applicable Laws (including without limitation, Anti-Corruption Laws and applicable Sanctions), all Contractual Obligations and all orders, writs, injunctions and decrees of any Governmental Authority and all Contractual Obligations applicable to it or to its business or property, except in such instances in which (a) such requirement of Applicable Laws, Contractual Obligation Law or order, writ, injunction or decree or Contractual Obligation (other than the Loan Documents) is being contested in good faith by appropriate proceedings diligently conducted; or (b) the failure to comply therewith could not reasonably be expected to have a Material Adverse Effect.

(a) Comply in all material respects with the requirements of all Applicable Laws (including without limitation, Anti-Corruption Laws and applicable Sanctions), all Contractual Obligations and all orders, writs, injunctions and decrees Environmental Laws) applicable to it or to its business or property, except in such instances in which (ai) such requirement of Applicable Laws, Contractual Obligation or order, writ, injunction or decree Law is being contested in good faith by appropriate proceedings diligently conducted; or a bona fide dispute exists with respect thereto, (ii) the failure to comply therewith arose out of or was related to the Misappropriation Transaction or (biii) the failure to comply therewith could not be reasonably expected to have a Material Adverse Effect; and (b) comply with all Contractual Obligations, except if the failure to comply therewith could not be reasonably expected to have a Material Adverse Effect.
