Compliance with Laws and Charter Documents. Neither the Company nor any Subsidiary thereof is, or as a result of performing any of its obligations under the Credit Documents will be, in violation of (a) any law, statute, rule, regulation or order of any Governmental Authority (including Environmental Laws) applicable to it or its properties or assets, (b) its certificate of incorporation, by-laws, governing partnership agreement or other organizational document or (c) judgments or agreements to which it is a party or by which its assets may be bound unless and to the extent that such violations, individually or in the aggregate, would not have a Material Adverse Effect.
