Common use of Compliance with Encryption and Export/Import Laws Clause in Contracts

Compliance with Encryption and Export/Import Laws. Licensor and ------------------------------------------------- Licensee shall comply, and Licensee shall require all Permitted Sublicensees to comply, with all of the then-current and applicable laws, rules and regulations of the United States and all jurisdictions within the Territory relating to the use of encryption technology and the import and export of technology, software and technical data, including, but not limited to, any regulations of the United States Office of Export Administration, and of any other applicable governmental agencies, and shall not export or re-export any technology, software, technical data or the direct product of such technology, software and technical data to any proscribed country listed in such applicable laws, regulations and rules unless properly authorized.

Licensor and ------------------------------------------------- Licensee shall comply, and Licensee shall require all Permitted Sublicensees distributors to comply, with all of the then-current and applicable laws, rules and regulations of the United States (and all jurisdictions within the Territory any other countries having jurisdiction) relating to the use of encryption technology and the import and export of technology, software and technical data, including, but not limited to, any regulations of the United States Office of Export Administration, to the extent permitted by applicable law in the applicable jurisdiction, and of any other applicable governmental agencies, and shall not export or re-export any technology, software, technical data or the direct product of such technology, software and technical data to any proscribed country listed in such applicable laws, regulations and rules unless properly authorized.
