Compliance with Corporate Documents. Neither the execution, delivery, or performance by Zions Bancorp, Val Cor, or Valley of the Agreements nor the consummation of the transactions contemplated therein will violate, conflict with, or constitute a breach of or default under the respective articles of incorporation or association or bylaws of Zions Bancorp, Val Cor, or Valley.
