Compliance with Applicable Regulations. In performing its duties hereunder, the Sub-Adviser: (a) Shall establish, to the extent required by applicable law, compliance policies and procedures relating to the provision of sub-advisory services under this Agreement (the "Compliance Policies and Procedures") (copies of which shall be provided to the Adviser and shall be subject to review and approval by the Adviser and the Board of Trustees) and, in addition, shall comply with all applicable provisions of the "Federal Securities Laws" (as such term is defined in 2 Bracketed text to be included for GE Total Return Fund only. 3 Bracketed text to be included for GE Total Return Fund only.
