Compliance with Applicable Law and Material Contracts. The Borrower shall, and shall cause each other Loan Party and each other Subsidiary and use commercially reasonable efforts to cause all Persons, if any, on or occupying any Property to, comply with all Applicable Law, including the obtaining of all Governmental Approvals, the failure with which to comply could reasonably be expected to have a Material Adverse Effect. The Borrower shall, and shall cause each other Loan Party and each other Subsidiary to, duly and punctually perform and comply, in all material respects, with all of the terms of each contract to which it is a party, in each case, with which the failure to be in compliance could reasonably be expected to have a Material Adverse Effect.
