Common use of Compliance by Sellers Clause in Contracts

Compliance by Sellers. The Sellers shall have performed --------------------- and complied with all material obligations and conditions required by this Agreement to be performed or complied with by Sellers prior to or at the Closing Date. All representations and warranties of Sellers contained in this Agreement shall be true and correct at and as of the Closing Date, with the same force and effect as though made at and as of the Closing Date, except for changes expressly permitted by this Agreement and the Purchaser shall have received a Certificate duly executed by each of the Sellers as to the foregoing.
