Common use of Compliance by Seller Clause in Contracts

Compliance by Seller. All of the terms, covenants and conditions of this Agreement to be complied with and performed by Seller on or prior to the Closing shall have been complied with and performed by it in all material respects, and the representations and warranties made by Seller in this Agreement shall be true and correct in all material respects on and as of the date hereof and on and as of the Closing with the same force and effect as though such representations and warranties had been made on and as of the Closing, except that any such representations and warranties that are given as of a particular date and relate solely to a particular date or period shall be true and correct in all material respects as of such date or period.

Compliance by Seller. All of the terms, covenants and conditions -------------------- of this Agreement to be complied with and performed by Seller on at or prior to the Closing shall have been complied with and performed by it in all material respects, and the representations and warranties made by Seller in this Agreement shall be true and correct in all material respects on at and as of the date hereof and on and as of the Closing Closing, with the same force and effect as though such representations and warranties had been made on at and as of the Closing, except that any such for changes expressly contemplated by this Agreement and except for representations and warranties that are given made as of a particular date and relate solely to a particular date or period specific time which shall be true and correct in all material respects only as of such date or periodtime.

All of the terms, covenants and conditions of this Agreement to be complied with and performed by Seller on or prior to the Closing Date shall have been complied with and performed by it in all material respects, and the representations and warranties made by Seller in this Agreement shall be true and correct in all material respects on and as of the date hereof Closing Date (except that representations and on warranties qualified by the terms "material" or "Material Adverse Effect" shall be true and as of the Closing correct in all respects) with the same force and effect as though such representations and warranties had been made on and as of the ClosingClosing Date, except as a result of actions contemplated or permitted by this Agreement and except that any such representations and warranties that are given as of a particular date and relate solely to a particular date or period shall be true and correct in all material respects as of such date or period.
